This Agreement comes into force on the date of signing/submitting/enrolling this form and shall continue for 1 year or 5 years after submission date. This agreement may be extended on the mutual agreement of both parties, unless earlier terminated in accordance with the agreement by the AMAZON TRANSPORTATION SERVICES PRIVATE LIMITED. This agreement may be terminated by either party at any time, without assigning any reason by giving prior written notice of sixty (60) days.
AMAZON TRANSPORTATION SERVICES PRIVATE LIMITED shall be entitled to terminate this agreement, with immediate effect upon happening of one or more of following:
Any breach or violation of any of the terms and conditions of this agreement by the “Franchise”, if within seven (7) days of written notice from the AMAZON TRANSPORTATION SERVICES PRIVATE LIMITED of the breach or violation, such breach or violation is not cured, provided that no cure period shall be applicable for the violation of any applicable law.
Failure of the “Franchisee” to provide the services to the customers as per the expectations of
AMAZON TRANSPORTATION SERVICES PRIVATE LIMITED
If the franchisee owner disclose or company disclose any details of partnership deed between company and franchise owner than the responsible party has to pay Rs. 4,75,000 to other party as compensation.
Neither Party to this Agreement shall be liable to the other Party for any delay or failure on its part in performing any of its obligations under this Agreement resulting from any cause beyond its reasonable control, including but not limiting to, strikes, riots, protests, mass demonstration, government- imposed restrictions, civil commotion, fire, floods, explosions, acts of God, acts of State, war, enemy action or terrorist action.
If after submitting the form franchisee owner doesn’t pay a verification cost within 1 hour of registration or denied to pay cost of franchise within 2 hours after verification process, to complete agreement process for any reason (It includes medical emergency, Shifting, Travelling, Trust issue, Visit In Company, etc.) than company has full rights to charge a penalties of Rs. 4,75,000 or imprisonment for 6 month under IPC section of 1872 under section 73 and 75. If any false language used from your side or any known person of yours than under IPC section 294 company can register a case. This terms also conation 3 month bond between franchise owner and company.
Both parties as above have expressed a desire of entering into a franchise agreement to meet their respective objectives, which are set out herein below:
A.) The franchisee has approached AMAZON TRANSPORTATION SERVICES PRIVATE LIMITED to permit the franchisee to facilitate and coordinate the delivery of the products of AMAZON TRANSPORTATION SERVICES PRIVATE LIMITED Partner (“Products”) with the customers of the Franchisee, via the platform of Amazon India, and the Parties agree that the Products shall be decided by mutual consultation between AMAZON TRANSPORTATION SERVICES PRIVATE LIMITED and AMAZON TRANSPORTATION SERVICES PRIVATE LIMITED Partner.
B.) The Parties now wish to enter into this Agreement to record the terms and conditions according to which the Franchisee shall
i)Setup a Franchisee outlet.
(ii) undertake the installation of the platform(“Platform”)owned and operated by Amazon Affiliate and, partner of AMAZON TRANSPORTATION SERVICES PRIVATE LIMITED (such partner of AMAZON TRANSPORTATION SERVICES PRIVATE LIMITED herein referred to as “AMAZON TRANSPORTATION SERVICES PRIVATE LIMITED partner”) as required by AMAZON TRANSPORTATION SERVICES PRIVATE LIMITED, in writing from time to time.
C.) AMAZON TRANSPORTATION SERVICES PRIVATE LIMITED is desirous of appointing “Franchise” to Set-up, manage and operate the Franchisee outlets as per the uniform norms set up by the AMAZON TRANSPORTATION SERVICES PRIVATE LIMITED in respect of nature of services and cost of services to the customer, Security Amount of upto Rs.1,90,000 for 5 years agreement and 1,00,000 for 1 year. Under this amount company can only charge 10% of security amount other 90% amount should be refunded to franchise partner on completion of deed.
D.) Under this franchise the franchisee will get minimum 80 parcels a day or a earning of Rs. 2800 minimum and Rs. 84,000 monthly with a commission Rs. 22 to Rs. 162. If a company is not able to complete a commitment than the company should pay a compensation of differentiate amount.
E.) Company will appoint 2 delivery boys for a franchisee for which minimum Rs. 16,000(Excluding petrol expenses) salary is paid by the company side. Delivery part is company responsibility. All transportation expenses is paid by company only franchise partner is not responsible for that.
F.) Company is bonded to pay franchise outlet rent if a franchise partner apply for 5 years franchise. Rent should not be more than 190 Rs. Sq/ft., if the rent goes more than the mentioned amount than it should be paid by franchise owner.
G.) All parcels given to franchise owner is insured so for any natural causes the owner should not have to pay anything to company.
